These Terms of Service ("Terms") govern your access to and use of the Baumeister website-building and hosting platform, including the website builder, AI assistant, hosting, custom-domain services, message portal, and related services (collectively, the "Service"), operated by Baumeister Private Server, Inc., a Delaware corporation ("Baumeister," "we," "us," or "our"). By creating an account, clicking "I agree," or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
You are responsible for the security of your account and for all activity that occurs under it. We use email-based sign-in ("magic links"); keep access to your email secure. Notify us immediately at info@baumeisterprivateserver.com of any unauthorized use.
Baumeister lets you create, generate (including via AI), publish, and host websites on a Baumeister subdomain or a custom domain, and to receive messages submitted through forms on your published sites ("Message Portal"). Features, limits, and pricing are described at https://baumeister.host/pricing and may change.
Plans. We offer Free, Lite, and Pro plans, and add-ons such as custom-domain hosting. Current prices and included "credits" (units consumed by AI builds and edits) are shown at checkout and on the pricing page.
Billing. Paid plans are billed in advance on a recurring (monthly) basis through our payment processor, Stripe. By subscribing you authorize recurring charges until you cancel.
Cancellation. You may cancel anytime; cancellation stops future renewals. We do not provide refunds or credits for partial billing periods, previously charged amounts, or unused credits, except where required by applicable law.
Credits. Credits are not money, have no cash value, are non-transferable, and (except where stated) do not roll over between billing periods.
Price changes. We may change prices with notice as required by law; changes apply to subsequent billing periods.
You retain ownership of the content you upload or create ("Your Content"), including text, images, logos, and site designs. You grant us a limited, non-exclusive, worldwide license to host, store, reproduce, and display Your Content solely to operate and provide the Service (e.g., to publish and serve your website). This license ends when you delete the content or close your account, except for backups retained for a reasonable period and as required by law.
You are solely responsible for Your Content and represent that you have all rights necessary to use and publish it, and that it does not infringe any third party's rights or violate any law.
The Service uses artificial intelligence to generate and edit website content based on your inputs. AI output may contain errors, inaccuracies, or content that requires review. You are responsible for reviewing, editing, and approving any AI-generated content before publishing and for ensuring it is accurate, lawful, and appropriate. We make no warranty regarding AI output. AI-generated content may not be unique and similar output may be provided to other users.
Your use of the Service and Your Content must comply with our Acceptable Use Policy (https://baumeister.host/acceptable-use), which is incorporated into these Terms. Among other things, you may not use the Service to publish or transmit unlawful, infringing, harmful, deceptive, or abusive content, or to violate the rights of others. We may remove content or suspend or terminate accounts that violate these Terms or the Acceptable Use Policy.
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. See our DMCA Policy (https://baumeister.host/dmca) for how to submit a notice and our repeat-infringer policy. We may remove content and terminate repeat infringers' accounts.
If you connect or register a custom domain, additional terms and fees apply. Domain registration may be provided through a third-party registrar; their terms and registry policies apply to the domain itself. You own your domain and may transfer it to another provider, subject to applicable registry rules and any required authorization codes, which we will provide on request. Payments are processed by Stripe; their terms apply to payment processing.
The Message Portal lets visitors to your published site send you messages, which appear in your account. You are responsible for how you collect, store, and use any personal information submitted to you through the Message Portal, including compliance with applicable privacy laws. We process and store these messages on your behalf as described in our Privacy Policy.
We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may modify, suspend, or discontinue features. We are not liable for any unavailability of the Service or loss of data, except as required by law. You are encouraged to keep your own copies of important content.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or if required by law. Upon termination, your published sites may be taken offline and Your Content may be deleted after a reasonable period.
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, BAUMEISTER AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless Baumeister and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.
We may update these Terms. We will provide notice of material changes (e.g., by email or in-product). Your continued use after changes take effect constitutes acceptance. We record the version of the Terms you accepted and the date of acceptance.
17.1 Governing Law. These Terms, and any dispute arising out of or relating to these Terms or the Service, are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules.
17.2 Agreement to Arbitrate. Except as provided in Section 17.4 (Small-Claims Exception) and Section 17.6 (30-Day Right to Opt Out), you and Baumeister agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by final and binding individual arbitration, rather than in court. This includes disputes about the existence, scope, validity, or enforceability of these Terms or this arbitration agreement, except that a court (and not an arbitrator) will decide the enforceability of the class-action waiver in Section 17.5.
17.3 Arbitration Procedures. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms. The AAA Rules are available at adr.org. The arbitration will be seated in Cuyahoga County, Ohio, and may be conducted by telephone, videoconference, or in person as the arbitrator determines. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
17.4 Small-Claims Exception. Notwithstanding Section 17.2, either party may bring an individual claim in the small claims division of the Cleveland Municipal Court (Cuyahoga County, Ohio), so long as the claim qualifies for and remains in small claims court and proceeds on an individual (non-class) basis.
17.5 Class-Action Waiver. You and Baumeister agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and brought in the courts identified in Section 17.7.
17.6 30-Day Right to Opt Out. You may opt out of this arbitration agreement (Sections 17.2–17.5) within thirty (30) days after first accepting these Terms by sending written notice to info@baumeisterprivateserver.com that includes your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms. If you opt out, the forum-selection provision in Section 17.7 will govern any Dispute.
17.7 Forum for Non-Arbitrable Disputes. For any Dispute that is not subject to arbitration — including any Dispute brought by a user who has opted out under Section 17.6, any claim severed under Section 17.5, and any action to enforce an arbitration award — you and Baumeister agree that the Dispute will be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and each party irrevocably consents to the personal jurisdiction of those courts and waives any objection based on venue or forum non conveniens.
17.8 Jury Trial Waiver. To the fullest extent permitted by law, you and Baumeister each waive any right to a trial by jury in any Dispute permitted to proceed in court.
18.1 Payments are processed by Stripe; you contract with Stripe directly. Baumeister’s selling features use Stripe Connect. To sell, you must create a Stripe connected account and accept the Stripe Connected Account Agreement and Stripe Services Agreement directly with Stripe. Baumeister is not a party to that agreement, and Stripe may update its agreement; you must comply with it as updated.
18.2 You are the merchant of record. For every sale, you — not Baumeister — are the merchant and seller of record. You are solely responsible for: the products or services you sell; their description, pricing, and legality; fulfillment and delivery; customer service; all refunds, chargebacks, disputes, and reversals; and all applicable taxes (collection, reporting, and remittance). Baumeister does not collect, hold, or remit any sales proceeds or taxes on your behalf; funds settle directly to your Stripe connected account.
18.3 Baumeister is not a party to your sales. Baumeister provides software that lets you list products and accept payment through Stripe. Baumeister is not the buyer’s or seller’s agent, is not a party to any transaction between you and your customers, and makes no warranty regarding any goods or services you sell. To the maximum extent permitted by law, Baumeister disclaims all liability arising from your products, your sales, and your dealings with customers.
18.4 Platform fee. Baumeister charges a platform fee of 2% of each sale, collected automatically at the time of payment. Stripe’s standard processing fees are separate and charged by Stripe. We may change the platform fee on prospective notice.
18.5 Compliance and your indemnity. You agree to comply with Baumeister’s Terms, Stripe’s agreements and rules, the Restricted Businesses list, and all applicable laws. You will indemnify and hold Baumeister harmless from any claim, loss, fine, dispute, or liability (including amounts Baumeister becomes liable to Stripe for) arising from your sales, your products, your tax obligations, or your breach of this section. Baumeister may suspend or terminate your selling access and report activity to Stripe if we believe you have violated these Terms or Stripe’s rules.
You may not use Baumeister’s selling features to list, sell, or accept payment for any product or service that is illegal or that appears on Stripe’s Restricted Businesses list (stripe.com/legal/restricted-businesses), as updated from time to time. This includes, without limitation, illegal or controlled substances, weapons and explosives, counterfeit or IP-infringing goods, adult content, and gambling. You are solely responsible for ensuring that everything you sell is lawful and permitted. We may remove any listing, suspend selling, or terminate your account at any time, without notice, if we believe in our sole discretion that you have violated this section, and we may report the activity to Stripe and to authorities.
You may not use Baumeister to create, host, or distribute content or businesses that are illegal or that violate our providers’ rules, including: illegal or controlled drugs; weapons, ammunition, or explosives sold unlawfully; counterfeit or infringing goods; sexually explicit or child-exploitative content; hateful, extremist, harassing, or violent content; phishing, impersonation, fraud, or malware; pyramid or multi-level-marketing schemes; unlicensed pharmaceuticals, financial services, or gambling; and any other activity prohibited by law, by our hosting provider’s Acceptable Use Policy, or by Stripe’s Restricted Businesses list. We may remove, suspend, or delete any site or account that violates this section at any time, without notice and without refund, and may report unlawful activity to the appropriate authorities.
